1. Website purpose

The Website provides general information about party-bus and private transportation services and allows visitors to submit requests for quotes.

Website content is provided for general informational purposes. Vehicle availability, service area, route feasibility, pricing, scheduling, and service terms must be confirmed directly by Shadow Lux Limo.

2. Quote requests are not reservations

Submitting a form, route, date, passenger count, or other trip information through the Website:

• is a request for information or a quote only;
• does not create a reservation or transportation contract;
• does not guarantee vehicle availability;
• does not lock or guarantee a price;
• does not obligate Shadow Lux Limo to accept the requested trip; and
• does not reserve a date or time.

A reservation is confirmed only after Shadow Lux Limo expressly accepts the trip, communicates the applicable service terms, and receives any required signed agreement, deposit, or payment.

3. Quotes, pricing, and availability

Any preliminary estimate or quote may be based on information you provide, including the date, time, pickup point, destination, stops, number of passengers, anticipated duration, mileage, service area, and special requests.

Unless expressly stated otherwise in writing:

• a quote is subject to verification and availability;
• taxes, tolls, parking charges, waiting time, overtime, cleaning, damage, gratuity, route changes, additional stops, and other applicable charges may not be included;
• changing trip details may change the price or availability; and
• a quote may expire after the period stated in the quote.

The final price and booking conditions will be stated in the applicable booking confirmation or transportation agreement.

4. Service area and routes

The Website may use maps, location tools, or approximate distance calculations to help evaluate a trip. These tools are provided for convenience and may not reflect actual travel time, road conditions, vehicle restrictions, closures, tolls, traffic, or route feasibility.

A location appearing within an online service-area estimate does not guarantee that service is available. Trips outside our standard service area may be declined, require manual review, or involve additional charges.

Drivers may alter routes when reasonably necessary for safety, traffic, legal compliance, road conditions, vehicle limitations, or operational reasons.

5. Information you submit

You agree to provide current, accurate, and complete information. You are responsible for confirming trip details, including:

• event date and pickup time;
• pickup and destination addresses;
• requested stops;
• passenger count;
• accessibility needs or special requests; and
• contact information.

You represent that you are authorized to provide the information you submit and to request communications regarding the proposed trip.

Do not submit unlawful content, malicious code, confidential information belonging to another person, or sensitive personal information that is not necessary for the request.

6. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to make a reservation or payment. If you submit information on behalf of an organization or another person, you represent that you have authority to do so.

Additional age, identification, passenger, alcohol, and conduct requirements may apply under the relevant booking agreement and applicable law.

7. Communications

By submitting a quote request and providing contact information, you authorize Shadow Lux Limo to contact you by telephone, text message, or email regarding that request, subject to applicable law.

Submitting a quote request does not, by itself, constitute consent to receive recurring promotional communications. Any promotional text-message program will be subject to a separate consent disclosure and opt-out instructions.

8. Payments, deposits, cancellations, and transportation services

This Website does not currently accept deposits or payments. If the Website later allows deposits or payments, additional booking, cancellation, refund, passenger-conduct, cleaning, damage, overtime, and transportation terms may apply. Those terms will be presented in a booking agreement, payment flow, or booking confirmation.

If there is a conflict between these Website Terms and a signed or accepted booking agreement, the booking agreement controls with respect to the transportation service.

9. Permitted use

You may use the Website only for lawful personal or business purposes related to evaluating or requesting our services.

You may not:

• interfere with the Website’s operation or security;
• attempt to gain unauthorized access to systems or data;
• use bots, scrapers, or automated tools in a manner that burdens the Website or violates law;
• submit false, misleading, fraudulent, or abusive requests;
• impersonate another person or misrepresent your affiliation;
• introduce malware or harmful code;
• copy, reproduce, modify, or commercially exploit Website content without permission; or
• use the Website in a way that violates applicable law or another person’s rights.

We may restrict or terminate access to the Website when we reasonably believe these Terms have been violated.

10. Intellectual property

The Website and its original content, design, layout, graphics, photographs, videos, logos, text, and software are owned by or licensed to Shadow Lux Limo and are protected by applicable intellectual-property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for its intended purpose. No ownership rights are transferred to you.

Third-party names, trademarks, maps, and content remain the property of their respective owners.

11. Third-party services and links

The Website may use or link to third-party services, including map, analytics, hosting, and communication providers. We do not control and are not responsible for the availability, content, security, accuracy, or practices of third-party services.

Your use of a third-party service may be governed by that provider’s terms and privacy policy.

12. Website availability and accuracy

We make reasonable efforts to keep the Website available and accurate, but we do not guarantee that it will always be uninterrupted, error-free, secure, current, or complete.

To the fullest extent permitted by law, the Website is provided on an “as is” and “as available” basis. We disclaim implied warranties relating to the Website, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent those disclaimers are permitted by law.

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

13. Limitation of liability

To the fullest extent permitted by law, Shadow Lux Limo and its owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, the Website.

To the fullest extent permitted by law, our aggregate liability for claims arising solely from use of the Website will not exceed the greater of the amount you paid us specifically for access to the Website or one hundred U.S. dollars ($100).

This limitation applies only to Website use. Liability relating to an accepted transportation service may be governed by the applicable booking agreement and law. Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Shadow Lux Limo and its owners, officers, employees, contractors, and agents from claims, losses, liabilities, and reasonable expenses arising from your unlawful misuse of the Website, your material violation of these Terms, or information you submit in violation of another person’s rights.

This section does not require you to indemnify any party for conduct for which indemnification is prohibited by law.

15. Governing law and venue

These Terms and disputes arising from Website use are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules, except where federal law applies.

Subject to any applicable consumer-protection rights that cannot be waived, legal proceedings relating solely to the Website must be brought in a court of competent jurisdiction serving Philadelphia County, Pennsylvania, and you consent to that jurisdiction and venue.

16. Changes to the Website or these Terms

We may modify the Website or these Terms from time to time. Updated Terms will be posted on the Website with a revised effective date. Changes apply prospectively from the effective date unless applicable law requires otherwise.

Your continued use of the Website after updated Terms become effective constitutes acceptance of the updated Terms.

17. Severability and waiver

If a provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect.

Our failure to enforce a provision is not a waiver of that provision or any other right.

18. Entire agreement

These Terms and the Privacy Policy constitute the entire agreement regarding use of the Website. They do not replace any separate quote, booking confirmation, payment terms, or transportation agreement accepted by you and Shadow Lux Limo.
